The Business Associate/Distributor/Sales Rep. will need to undertake to offer for sale of Thanks Adpx Group of Company products in accordance with the following terms & Conditions.
* That the Business Associate/Distributor/Sales Rep. will introduce such persons to M/s Thanks Adpx Group of Company who are in accordance with the operational directives of the company issued from time to time.
* Companies participation or induction as a Business Associate/Distributor/Sales Rep necessarily warrants that company has understood the business and company's current marketing programme, communication and rnethodology of doing work. Participation also means that the company is not relying on any other representation that is not contained herein or any oilier official communication of the company.
* Business Associate/Distributor/Sales Rep. will comply with all Central state ,local and Municipal laws ordinance, Rules & Regulations.
* The company has sole discretion to accept or reject any application without assigning any reason.
* Business Associate/Distributor/Sales Rep. will be responsible to regularly check the website for any up gradations / amendment and the company will neither undertake to send any direct letter nor use any other medium other than specified above.
* In case of any change of address or phone number or email ID or any such information considered vital for the company it will be the Business Associate/Distributor/Sales Rep’s Sole responsibility to keep the company informed Through registered letter only.
Business Associate/Distributor/Sales Rep’s are not any employee, agent , partner, legal representative, or franchisee of M/s. Thanks Adpx Group of Company.
* And is not authorized to incur any depth, expense-, obligation or open any bank account on behalf of/for, or in the name of M/s Thanks Adpx Group of Company. The Business Associate/Distributor/Sales Rep Will be solely responsible for playing all expenses Incurred by it for day to day operations besides direct and indirect expenses incurred towards use/misuse/inability to properly use the product / service.
All Business Associate/Distributor/Sales Rep should agree to present the Thanks Adpx Group of Company Multi-income Business Plan end the products as set fourth in the official company literature. The Business associates / distributors/ sales rep. shall not offer any incentives , gifts other than as specified in the official brochure or hold out any promise ID this effect or offer any other attractions to temp/lure/instigate any person to join the business of M/S Thanks Adpx Group of Company.
The company would not be responsible if due to any act natural calamity /change in law or unforeseen circumstances is unable to perform its normal working. In such circumstances no claim from any business associates /distributors / Sale rep. in any form will be tenable / acceptable
The business associate distributor/Sales rep. will not accept the payment directly (in cash) arising out of sale of M/s. Thanks Adpx Group of Company Products and all payments will be accepted in the form of DD / Bankers Cheque favoring Thanks Adpx Group of Company payable at Delhi . The company shall not be responsible for any cash payment at any place or other than deposited at the counter of the back office at Delhi.
Business associate/distributor/Sales rep. are required to indemnify and hold the company harmless against all claim made by them or by third party and any liability which might have arisen due to violation of these terms and conditions.
The business associate/distributor/Sales rep. shall display the company logo as designed by the company for printing business associate /distributor/Sales rep. personal stationary (with prior permission) . However the business associate/distributor/Sales Rep. shall not use the trademark, patent or any other or any other intellectual property / right of the company for any purpose other than the promotion of the business of the company .
The business associate/distributor/Sales rep. will receive the sales benefits or fortnightly basic trough company cheque. In case any payout day falls on holiday, the same will be automatically scheduled for the next working day .
The company may terminate the business/distributorship without giving the prior notice if he/she uses the company premises / venue to represent the interest of any other company in whatsoever manner. The right of a terminated the business associate/distributor/Sales rep. to receive compensation/present/accrued (in whatever form) from the company ceases from the date of termination.
In the event that a provision of this agreement is held to be invalid or in-enforceable in such circumstances only in enforceable provision shall be construed to enforceable and agreement will remain in full force to that extent
In the event of the proprietor / partner of the business associate/distributor/Sales rep. company the rights and responsibilities of the business associates /distributor/Sales rep. will be transferred to the legal heirs as per the Indian laws.
The term and conditions cum business agreement is to be made only by companies /firms with M/s Thanks Adpx Group of Company otherwise this agreement can’t be signed in the capacity of an individual.
Company can change the business plan any time without any prior notice.
The Rates may vary with the commodity market.
Any incompliance with the terms of this agreement Thanks Adpx Group of Company May ,at its discretion , terminate the concerned business associate/distributor/Sales rep.or impose upon him any other disciplinary action/penalty. if the same is in breach, default or violation of this agreement he/she shall not be entitled to receive any further payout. If this agreement is terminated for any reason what so above, the concerned business associate/distributor/Sales rep. will loose its right (present and future ) as an business associate/distributor/Sales rep. and rights including to receive any payouts from M/s. Thanks Adpx Group of Company
The earnings by business associate/distributor/Sales rep. are not precondition but depend on its skill knowledge and work which is no way any allurement or contract.
All disputes are subject to Delhi Jurisdiction only.
ACCEPTANCE OF TERMS THROUGH PURCHASE
* By purchasing any product and putting your signature on the form signify your agreement to all terms and conditions Herein (the "Agreement'). You agree not to make any false or fraudulent statements in your purchasing of products and to pay all amounts due for each purchase you make.
* If you are not satisfied with your Thanks Adpx Group of Company products you are entitled to 5 calendar days replacement policy of the product. If the item is returned unopened in the original box, we will exchange it. The product must be returned to The Thanks Adpx Group of Company. warehouse with in 5 calendar days of the issuance of receipt.
* All produces must be packed in the original, unmarked packaging including any accessories, manuals. Documentation and registration that shipped with the product. PLEASE NOTE THAT Thanks Adpx Group of Company does not permit the return of or offer refunds for product that is custom configured to your Specifications.
* After the expiry allotted, 5 calendar days replacement period, (te Thanks Adpx Group of Company Product can be replaced but not returned by paying Rupees 1000/- (One thousand) extra for each unit.
* The exchanged product will not have 5 days return policy but can be exchanged any number of times by paying the exchange fee.
* You may have product repaired, however once serviced, the product is no longer eligible for replacement.
* Any discrepancy regarding payment details of products charges through bank or company's account will constitute material breach of this agreement and may subject you to legal action against you.
* Under no circumstances shall Thanks Adpx Group of Company be liable for any direct, indirect, punitive, incidental, special, or consequential damages that result form or arise out of. the use of, or inability to use, products. This limitation applies whether the alleged liability is based on contract, negligence, strict liability, or any other basic, even if Thanks Adpx Group of Company has been advised of the possibility of such damage.
* This Agreement constitutes the entire agreement between the parties related to the subject matter thereof, supersedes any prior or contemporaneous (oral, written or electronic) agreement between the parties and shall not be changed except by written agreement signed by Director of Thanks Adpx Group of Company. If any provision of this Agreement is prohibited by law or held to be unenforceable the remaining provision hereof shall not be affected, and this Agreement as such as possible under applicable law shall continue in full force and effect as if such unenforceable provision had never constituted a part hereof and the unenforceable provision shall be automatically amended to so as to best accomplish the objectives of such unenforceable provision within the limits of applicable law .User shall not assign or transfer this agreement and. any such transfer shall be void.
I hereby declare that I have understood that "Acceptance of Terms Through Purchase1' and undertake to confirm to abide by irrevocably the terms and conditions of the organizations and rules and regulations of this agreement.
